Ownership Structure:

Emirates CMS Power Company (ECPC) has been established to build, own and operate the Al Taweelah A2 combined cycle power and desalination plant.

The shareholders of ECPC include Emirates Power Company (60%), a wholly owned subsidiary of the Abu Dhabi Water and Electricity Authority (ADWEA), and CMS Generation Taweelah Limited (40%), a wholly owned subsidiary of CMS Generation

 
Supply/Financing Agreements:

 

ECPC has contracted with the Abu Dhabi Water and Electricity Company (ADWEC) to supply water and power under terms of a 20-year agreement. This agreement is referred to as the Power and Water Purchase Agreement (PWPA).

ECPC has entered into a US$ 596 million Facility Agreement with a syndicate of international banks, headed by Barclays Capital (UK) Limited as “Lead Arranger” and Barclays Bank PLC as “Facility Agent”, to finance the construction and commissioning of the Al Taweelah Facility.

Management:

 

Overall management of the Company is undertaken by the ECPC Board of Directors, primarily under the Board’s authority to approve Budgets for capital and operating expenditure.

The Milestone Schedule included in the Turn Key Agreement with Siemens/Hanjung provides budgets for the construction and commissioning of the plant. However, this Milestone Schedule is supplemented by the Budget for Mobilization and Training of operations staff and for the “pre-Operational Period” Budget included with the Management, Operations and Maintenance Agreement with the Taweelah A2 Operating Company

The Executive Managing Director is responsible for day-to-day management of the Company, under authorities issued by the Board to operate within approved Budgets. To assist him, the Executive Managing Director has the following staff reporting to him:

  • The Business Manager.

  • The Corporate Counsel/ Company Secretary (part-time consultant).

  • The Station Manager.

The organizational structure for ECPC is indicated generally by Attachment A.

Operations and Maintenance:

 

The Taweelah A2 Operating Company Limited, a wholly owned subsidiary of CMS Generation, will provide on-going management, operations and maintenance of the facility under terms of a 20-year agreement.

Scheduled major maintenance of the generating equipment, inclusive of labor and parts, during the estimated initial twelve (12) years of operations has been contracted to Siemens. The Taweelah A2 Operating Company will undertake supervision of the Scheduled Maintenance Contract with Siemens.

The Station Manager (or Plant General Manager) is responsible for supervising and controlling day to day operations and maintenance activities of the Taweelah A2 Operating Company.

Environmental Management:

Mott McDonald Engineers has completed a review of the potential environmental impacts of the Taweelah A-2 Project on behalf of ECPC, in which the air, water, land and noise issues were examined. This review report was used as the framework for preparing a comprehensive Environmental Management Manual (EMM) for development and operations. ECPC has appointed an Environmental Engineer to take the prime responsibility for all environmental matters connected with operation of the plant, including monitoring day-to-day compliance with the EMM, reporting any non-compliances and issuing corrective action notices.

The assessment of atmospheric emissions of Taweelah A-2 is based on various factors including current emission limits, existing air quality criteria and dispersion modeling of Taweelah A-2 sources. In gas turbines, the emission of nitric oxide (NOx) is controlled during natural gas firing by means of premix combustion in the upper load range. When burning fuel oil, the NOx emission will be controlled additionally by water injection. Control of sulphur dioxide (SO2) will be through the burning of natural gas as the primary fuel and back-up fuel oil with low sulphur content. The heat recovery steam generators are equipped with a modern burner management system for the control of CO and unburned hydrocarbons. The exhaust stack height of 55 meters will effectively disperse the gaseous pollutant. The plant is equipped to monitor and record continuously NOx, SO2, CO and O2 emissions.

The plant is designed to ensure that the temperature of sea water brine from the desalination units combined with reject cooling water from the power units discharged from the plant is not more than 10o C above the temperature of the incoming sea water. Combined discharges from the Taweelah Complex should not increase by more than 1o C. the temperature of the receiving seawater. The plant is equipped to continuously monitor and record water temperature at the seawater inlet and at the outlet.

Primary sedimentation and biological clarification and an effluent disinfection unit treat sanitary and domestic wastewater streams before the wastewater is discharged into the sea. Oil contaminated water is treated in oil separators. All the treated wastewater streams are discharged to the sea in accordance with local permit requirements and the emission limits.

The entire plant area will be inspected regularly for any soil contamination, and necessary measures/arrangement will be made to minimise the environmental impact.

Health and Safety:

 

ECPC is committed to provide and maintain safe and healthy working conditions for all employees, and to establish and maintain safe work practices at all times. This commitment is the basis of the Company’s Mission Statement on Health and Safety matters.

The Plant Safety Committee has been formed, and is composed of representation from all the departments of ECPC. Either the Executive Managing Director or the Plant General Manager serves as the Chairperson, to ensure that conclusions and recommendations of the Safety Committee are supported at the highest levels of the Company’s Management. This Committee shares the knowledge and experience of workers and supervisors, encourages a closer relationship between workers and Management through a commitment to a common interest and provides a clear channel for action on employee ideas and suggestions.

The Company employs a fulltime Safety Officer, and an Emergency Response Plan has been prepared and is continuously updated to handle onsite emergencies such as fires, explosions, toxic releases, asphyxia, fuel or chemical spills. The Safety Officer co-ordinates the “mock” exercises and recommends procedures to improve response times. The Safety Officer also liaises with other personnel in seeking ways to improve the handling of various emergency situations. The comprehensive Safety Reference Manual prepared for the plant provides necessary safety guidelines for the employees.

At the end of 2005, over 1,235,000 man-hours had been worked without a lost time accident or major incident.

Administration/Finance:

 

The Business Manager is directly responsible for all financial controls of both the Taweelah A2 Operating Company as well as ECPC. This is accomplished through a series of detailed accounting and administrative procedures that has been developed progressively over the the past years since the operating company has been established and staffed.

Shared Facilities:

 

Certain facilities that are shared with the adjacent Taweelah A1 and Taweelah B plants are operated and maintained by the Shared Facilities Company, owned 17% by ECPC, 66% by Taweelah B and 17% by Taweelah A1. The Shared Facilities Company is under the control of a Board of Managers, including representatives of each of Taweelah A-2, Taweelah A-1 and Taweelah B.

Taweelah B is the “operating shareholder” of the Shared Facilities Company, and operating costs are funded by the various shareholders based on their respective shareholding. Taweelah B recommends an initial operating budget for consideration by the Board of Managers of the Shared Facilities Company.
